Terms of Service

Dopplyn is a product operated by Spell Shield Pty Ltd (ABN 47 684 472 759), a company registered in South Australia, Australia. These Terms of Service govern your access to and use of the Dopplyn platform, available at dopplyn.com and any associated applications or services (collectively, the "Platform"). By creating an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

References to "we", "us", and "our" mean Spell Shield Pty Ltd operating as Dopplyn. References to "you" mean you as an individual user, whether you access the Platform as a fan or as a creator.

Part 1 — General Terms (All Users)

1. Eligibility

You must be at least 18 years of age to create an account or use the Platform in any capacity. By registering, you represent and warrant that you are 18 years of age or older. If we discover or reasonably suspect that you are under 18, we will immediately suspend or terminate your account without notice and without refund.

We do not knowingly collect information from or provide services to persons under 18. If you believe a person under 18 has registered on the Platform, please contact us at privacy@dopplyn.com.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials. You must not share your account with any other person. You are responsible for all activity that occurs under your account.

You agree to provide accurate and current information when registering and to update that information if it changes. We reserve the right to suspend or terminate accounts where information is found to be false, misleading, or incomplete.

You may not create more than one account. We reserve the right to merge or remove duplicate accounts at our discretion.

3. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation in your jurisdiction or any jurisdiction from which you are accessing the Platform
• Upload, post, or transmit content that is defamatory, harassing, threatening, or that infringes the intellectual property rights of any third party
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any conduct that could damage, disable, overburden, or impair the Platform or its infrastructure
• Attempt to gain unauthorised access to any part of the Platform or to another user's account
• Scrape, crawl, or systematically extract data from the Platform without our prior written consent
• Use the Platform for any commercial purpose not expressly permitted by these Terms

We reserve the right to remove any content and suspend or terminate any account that we determine, in our sole discretion, violates these Terms or is otherwise harmful to the Platform, its users, or third parties.

4. Intellectual Property

All content, software, design, text, graphics, and other materials forming part of the Platform (excluding user-generated content) are owned by or licensed to Spell Shield Pty Ltd and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

You retain ownership of content you upload to the Platform. By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to store, display, and process that content solely for the purpose of operating the Platform and providing services to you. We do not claim ownership of your content and will not use it for any purpose beyond what is necessary to operate the Platform.

5. Disclaimers

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, availability, or fitness for a particular purpose of the Platform or any content on it.

All AI-generated personas on the Platform are artificial intelligence constructs and are not the real individuals they represent. Any resemblance to real advice, real emotional connection, or real communication is incidental. You acknowledge that you are interacting with an AI system and not with a human being.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Spell Shield Pty Ltd, its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform will not exceed the total amount you have paid to us in the twelve months preceding the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Australian law, including liability under the Australian Consumer Law.

7. Governing Law and Disputes

These Terms are governed by the laws of South Australia, Australia. Any dispute arising out of or in connection with these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of South Australia, Australia.

We encourage you to contact us at hello@dopplyn.com before initiating any formal dispute. We will make reasonable efforts to resolve issues informally.

8. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this document. If changes are material, we will notify you by email or by a prominent notice on the Platform. Continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.

Part 2 — Creator Terms

These terms apply to you if you register as a creator on the Platform. They are in addition to Part 1 and, in the event of conflict, these Creator Terms prevail.

10. Creator Eligibility and Onboarding

In addition to the general eligibility requirements in clause 1, to become a creator you must:

• Be at least 18 years of age
• Provide a valid display name and email address
• Confirm your date of birth
• Agree to these Terms and the Creator Content Policy
• Complete any identity verification steps we may require from time to time

We reserve the right to refuse any creator application at our sole discretion and without providing reasons.

11. Creator AI Persona

As a creator, you may upload content (including text, images, audio, and other media) to build and configure an AI persona that represents you on the Platform (your "Persona"). Your Persona will interact with fans on your behalf using AI systems operated by or through Dopplyn.

You retain full ownership of all content you upload. By uploading content, you grant Spell Shield Pty Ltd a non-exclusive, worldwide, royalty-free licence to store, process, and use that content solely to operate your Persona on the Platform. This licence terminates when you delete your account, subject to a retention period of up to 30 days to allow for account recovery and outstanding billing settlement.

We do not use creator-uploaded content to train any general-purpose AI model. Your content is used exclusively to configure and operate your individual Persona.

You are responsible for ensuring that any content you upload does not infringe the rights of third parties, does not constitute defamation, and does not violate any applicable law.

12. AI Disclosure Obligation

You acknowledge and agree that the Platform displays a clear, persistent disclosure to all fans that they are interacting with an AI system and not with you directly. You must not instruct or configure your Persona in any way that is designed to deceive fans into believing they are communicating with a real human being in real time.

13. Creator Content Policy

You agree to comply with the Dopplyn Creator Content Policy, which forms part of these Terms. Content that is absolutely prohibited on the Platform, under any circumstances and regardless of account type, includes:

• Any content depicting, suggesting, or referencing sexual activity involving persons under 18 years of age, or content that could reasonably be interpreted as doing so
• Any content depicting non-consensual sexual activity in an approving or promotional manner
• Content that constitutes harassment, threats, or targeted abuse of any identifiable real person
• Content that promotes, facilitates, or constitutes human trafficking, exploitation, or prostitution services
• Content that violates any applicable Australian law or the law of the jurisdiction from which it is produced

Violations of the above prohibitions will result in immediate permanent account termination and, where required by law, referral to relevant authorities including the Australian Federal Police and the National Centre for Missing and Exploited Children where applicable.

14. No Sexually Explicit Content

The Platform does not permit sexually explicit content of any kind, on any account type. Personas may be configured as Friendly (non-romantic) or Romantic (flirty and emotionally intimate without explicit content). You must not configure your Persona to produce, request, or describe sexual acts or sexually explicit material, and you must not upload sexually explicit content as Persona configuration. Breach of this clause is grounds for account termination under the Creator Content Policy.

15. Creator Fees and Revenue

Creators set their own monthly subscription price for fan access to their Persona. The revenue share is as follows:

Monthly subscriptions: You receive 80% of the net subscription revenue collected from your fans. Dopplyn retains 20%.

Credit pack purchases: Fans may purchase additional credit packs specific to your Persona. You receive 30% of net credit pack revenue. Dopplyn retains 70%.

"Net revenue" means the amount received by Dopplyn after deduction of payment processing fees charged by our payment processing partners. We do not inflate or misrepresent payment processing fees.

16. Creator Payouts

We will process your earned revenue on a weekly basis, provided your accumulated balance meets the minimum payout threshold of USD $50. Balances below this threshold will accumulate until the threshold is met.

Payouts are disbursed through our payment processing partners. By registering as a creator, you agree to comply with the terms and onboarding requirements of our payment processing partners as applicable to creator payouts.

We are not responsible for delays caused by your bank, payment service provider, or any intermediary financial institution. If you believe a payout has been incorrectly calculated, contact hello@dopplyn.com within 30 days of the relevant payment date.

17. Taxes

You are solely responsible for determining, reporting, and paying any taxes applicable to your earnings from the Platform, including income tax, goods and services tax, value added tax, or any other applicable tax in your jurisdiction. We do not provide tax advice. We may be required to collect and report certain payment information to tax authorities as required by applicable law.

18. Creator Account Termination

We may suspend or permanently terminate your creator account if:

• You breach any provision of these Terms or the Creator Content Policy
• Your account generates a pattern of chargebacks or payment disputes that we determine is unacceptable
• We are required to do so by law or court order
• We discontinue the creator programme with reasonable notice

If we terminate your account for a breach of the Creator Content Policy, your account will be closed immediately, all content will be deleted within 30 days, and any outstanding payout balance below the minimum threshold may be forfeited at our discretion. Active fan subscriptions will receive a pro-rata refund for the remaining subscription period.

If you choose to close your own account, your creator profile will remain active until the end of any current fan billing cycles, after which it will be removed. Outstanding earnings above the minimum payout threshold will be disbursed in the next scheduled payout run.

Part 3 — Fan Terms

These terms apply to you if you access the Platform as a fan. They are in addition to Part 1 and, in the event of conflict, these Fan Terms prevail.

19. Fan Eligibility

In addition to the general eligibility requirements in clause 1, by subscribing to any creator on the Platform you confirm that you are at least 18 years of age.

20. Subscriptions

Fan access to a creator's Persona is provided through a monthly subscription. Subscriptions are billed in advance on a recurring monthly basis. By subscribing, you authorise us and our payment processing partners to charge your payment method on a recurring basis until you cancel.

Each monthly subscription includes 300 credits per billing cycle. Credits reset to 300 at the start of each new billing cycle and do not carry over. Unused monthly credits are forfeited at the end of each billing cycle.

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle. You will retain access to the creator's Persona until the end of the paid period. No refund is issued for unused time in a cancelled billing cycle.

21. Credit Packs

Fans may purchase additional credit packs for a specific creator. Credit packs are tied to the creator for whom they were purchased and cannot be used to interact with any other creator on the Platform.

Credit packs stack with each other and with your monthly credit balance. Monthly credits are consumed first before credit pack credits are applied.

Credit packs do not expire while you maintain an active subscription to the creator for whom the pack was purchased. If you cancel your subscription to that creator, any unused credit pack credits are forfeited and are not transferable.

Credit pack purchases are non-refundable once the purchase has been processed, regardless of whether credits have been used.

22. AI Interaction Disclosure

You acknowledge and agree that all Personas on the Platform are AI-generated systems. You are not communicating with a real human being. Responses generated by Personas are produced by artificial intelligence and do not represent the real-time thoughts, feelings, or statements of any real person.

We make no representation that any information communicated by a Persona is accurate, current, or should be relied upon for any purpose. Do not make financial, medical, legal, or other significant decisions based on interactions with a Persona.

23. Conversation Data

Conversations you have with a creator's Persona are stored on our platform infrastructure and are accessible only to you. Creators do not have access to the content of your individual conversations. We process conversation data solely to provide the service to you and to ensure the safety and integrity of the Platform.

We do not use the content of your conversations to train any AI model. Please refer to our Privacy Policy for full details of how your data is handled.

24. Payments and Billing

All transactions on the Platform are processed in United States Dollars (USD) by our payment processing partners. By providing a payment method, you represent that you are authorised to use it and that the billing information you provide is accurate.

Subscription fees are billed at the start of each billing cycle. We may update subscription pricing with reasonable notice. If a creator changes their subscription price, you will be notified before the change takes effect on your account.

If a payment fails, we will attempt to collect payment using reasonable retry logic. If payment cannot be collected after reasonable attempts, your subscription will be suspended until payment is resolved.

25. Refund Policy

Monthly subscription fees are non-refundable except where:

• We terminate a creator's account for a violation of the Creator Content Policy, in which case active subscribers will receive a pro-rata refund for the remaining days of their current billing cycle
• We are required to issue a refund under the Australian Consumer Law or other applicable law

Credit pack purchases are non-refundable once processed.

26. Prohibited Fan Conduct

In addition to the general acceptable use obligations in clause 3, as a fan you must not:

• Attempt to extract, record, or redistribute any content generated by a creator's Persona without the creator's express consent
• Use interactions with a Persona to engage in or facilitate any illegal activity
• Attempt to determine or expose the underlying technology, prompts, or configuration of any Persona
• Use automated tools, bots, or scripts to interact with the Platform or any Persona

Part 4 — Reporting and Enforcement

27. Reporting Mechanism

We provide a reporting function within the Platform that allows any user to flag content or behaviour they believe violates these Terms or the Creator Content Policy. Reports can also be submitted by email to abuse@dopplyn.com.

We will review all reports within 5 business days. Where content is flagged as potentially involving illegal activity, including content that may depict or involve minors, we will review that report as a priority and will take immediate interim action including content removal and account suspension where appropriate.

We reserve the right to suspend any account immediately, without notice, pending investigation of a report.

28. Cooperation with Authorities

We will cooperate fully with law enforcement authorities in Australia and internationally where required by law or where we have reasonable grounds to believe that content on the Platform constitutes a criminal offence. This includes providing account information and content to relevant authorities where legally required to do so.
